Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the Stay Up website, leaderboard, submission flow, payment features, and related services (the "Service"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must have the legal capacity to enter into these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization.

2. What Stay Up is

Stay Up is a public ranking and listing platform for software products and online projects. We do not manually pre-approve every submission before publication. Listings can be created directly by users, but all listings remain subject to moderation and may be removed at any time if they violate these Terms.

Rankings are calculated from signals including time, eligible payments, and qualified audience activity. We may change the ranking formula, eligibility rules, categories, features, prices, or availability as the Service evolves. A listing or payment does not guarantee any position, traffic, visibility, or business result.

3. Listings and your responsibilities

Listings must link to a real, publicly accessible project. You must provide accurate information and have the rights or permission needed to submit the project, its name, description, logo, icon, website, and other materials.

The Service may retrieve public metadata from the submitted website. You remain responsible for reviewing the resulting listing and for the project and claims it contains. You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, display, format, and distribute submitted listing materials as needed to operate and promote the Service.

4. Permitted and prohibited listings

Permitted listings are legitimate websites, applications, developer tools, online services, and other lawful projects.

We prohibit listings involving:

• Illegal products, services, or activity.
• Scams, phishing, malware, spam, or other abuse.
• Impersonation, fraud, or materially false or misleading claims.
• Intellectual-property, privacy, publicity, or other rights abuse.
• Hate, extremist, or explicit sexual content.
• Content that is otherwise unlawful or intended to deceive or harm users.

We also reserve the right to remove misleading, fraudulent, abusive, or otherwise inappropriate listings even when they do not fall into one of the explicitly listed categories.

5. Moderation and abuse

We review listings that are reported, appear suspicious, or otherwise come to our attention. We may investigate, edit, hide, reject, suspend, or remove a listing at any time. We may also take reasonable measures to prevent repeated abuse by the same person, website, or project.

Requiring payment to participate adds friction against automated spam and disposable submissions. Payment itself is not a moderation, endorsement, identity-verification, or quality-verification mechanism.

6. Payments and boosts

A payment may be required to publish a listing or boost a project. The applicable amount, currency, and ranking estimate are shown before checkout. Payments are processed by Dodo Payments and may also be subject to its terms and privacy policy.

Paying to boost a project only affects ranking under the current scoring rules. It does not buy approval, endorsement, permanent placement, or any exemption from these Terms. We may remove a listing that violates these Terms without preserving its rank or boost effect.

Except where required by law, completed payments are non-refundable. Refunds, reversals, disputes, suspected fraud, or payment failures may cancel the related ranking effect or listing publication.

7. Acceptable use

You must not:

• Manipulate rankings, impressions, clicks, traffic, payments, or other Service signals.
• Use bots, scripts, coordinated activity, or deceptive techniques to create artificial engagement.
• Bypass payment, rate limits, moderation, access controls, or security measures.
• Probe, disrupt, overload, scrape, or reverse engineer the Service except where applicable law expressly permits it.
• Use the Service for unlawful, fraudulent, abusive, harassing, or deceptive activity.

8. Third-party projects and services

Listings link to independently operated websites and services. We do not control, endorse, verify, or accept responsibility for listed projects, their content, security, availability, products, claims, or policies. Visiting or transacting with a listed project is at your own risk.

The Service also relies on third-party infrastructure and payment providers. Their services may be unavailable or governed by separate terms.

9. Intellectual property

The Service, including its software, design, branding, ranking systems, and original content, is owned by us or our licensors. These Terms do not transfer ownership of the Service or grant permission to use our trademarks.

10. Suspension and termination

You may stop using the Service at any time. We may limit, suspend, or terminate access, remove listings, or discontinue any part of the Service if you violate these Terms, create risk for the Service or others, fail to pay applicable charges, or if continuing the Service is no longer practical.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. We do not warrant uninterrupted or error-free operation, the accuracy of listings or rankings, or the quality, legality, safety, or availability of any listed project.

12. Limitation of liability

To the fullest extent permitted by law, we will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, rank, traffic, or opportunities arising from the Service. Our total liability for claims relating to the Service will not exceed the amount you paid us during the 12 months before the event giving rise to the claim.

13. Changes and contact

We may modify, suspend, or discontinue all or part of the Service. We may also update these Terms. We will revise the date above when they change. Continued use after an update constitutes acceptance of the revised Terms.
